This Affiliate Program Agreement (the "Agreement") applies to your participation in the affiliate program operated by Sourceful Ltd (company number 11260656) of Colony, 5 Piccadilly Place, Manchester, England, M1 3BR ("Sourceful", "we", "us", or "our") in relation to Riverflow.ai, Sourceful.com, and any related products or services that we designate from time to time (together, the "Services").
By applying to, enrolling in, accessing, or participating in our affiliate program (the "Affiliate Program"), you ("Affiliate", "you", or "your") agree to comply with this Agreement. If you apply for or participate in the Affiliate Program on behalf of a company or other entity, you represent that you have authority to bind that entity to this Agreement.
This Agreement incorporates, and you agree to comply with, the most up-to-date version of any commission schedules, campaign terms, payout rules, attribution rules, brand guidelines, content guidance, and other policies or requirements that we publish or make available to you from time to time, whether directly or through our chosen affiliate platform (the "Program Policies"). If there is any conflict between this Agreement and the Program Policies, this Agreement will prevail unless the relevant Program Policies expressly state otherwise.
Sourceful may use third-party providers to administer parts of the Affiliate Program, including referral tracking, reporting, onboarding, tax collection, or payouts. At the date of this Agreement, Sourceful uses Dub.co in connection with the Affiliate Program. You may be required to accept additional terms from Dub.co and any relevant payout provider in order to participate in the Affiliate Program or receive payment.
Affiliate Link means any unique referral link, code, coupon, or other tracking mechanism assigned to you in connection with the Affiliate Program.
Affiliate Platform means any third-party platform designated by Sourceful to administer or support the Affiliate Program from time to time.
Commission means any referral fee, revenue share, bounty, flat fee, or other compensation expressly made available by Sourceful under the Affiliate Program and the applicable Program Policies.
Qualifying Customer means a customer that Sourceful determines, acting reasonably and in accordance with its tracking systems and Program Policies, has satisfied all applicable conditions for a Commission.
1.1 Acceptance into the Affiliate Program is at Sourceful's sole discretion. We may accept, reject, suspend, or remove any application or participant at any time and for any reason.
1.2 To participate in the Affiliate Program and remain eligible for Commissions, you must at all times:
1.3 We may monitor your website, content, channels, traffic sources, or promotional activity to verify compliance with this Agreement and the Program Policies.
1.4 If you breach this Agreement, the Program Policies, or any applicable law, or if we reasonably suspect fraud, abuse, deception, or other misconduct, then in addition to any other rights or remedies available to us, we may suspend or terminate your participation in the Affiliate Program and withhold, reduce, reverse, or permanently forfeit any Commissions otherwise payable to you, whether or not directly related to the relevant breach or misconduct.
2.1 Commission rates, eligible products or plans, attribution windows, recurring commission periods, minimum payout thresholds, payout timing, campaign-specific rules, and any caps or limits are as set out in the applicable Program Policies or offer details made available through the Affiliate Platform.

2.4 If multiple affiliates claim the same customer or transaction, Sourceful will decide, in its sole discretion and based on its own records and the records of the Affiliate Platform, whether any Commission is payable and to whom.
2.5 Sourceful may withhold, offset, reverse, or recover Commissions if we determine, or reasonably believe, that such Commissions were credited in error, resulted from fraud or abuse, arose from a breach of this Agreement or the Program Policies, or relate to a transaction that later becomes ineligible.
2.6 Commission payments may be processed through third-party payment providers made available through the Affiliate Platform. You are responsible for ensuring that your payment details remain accurate and up to date, and for accepting and complying with any applicable terms of those payment providers.
2.7 You are solely responsible for paying all taxes, duties, levies, and similar charges arising from or relating to any Commission paid to you.
3.1 We grant you a limited, non-exclusive, non-transferable, revocable right to market and promote the Services in accordance with this Agreement and the Program Policies.
3.2 In connection with the Affiliate Program, you must not:
3.3 You must clearly and prominently disclose your affiliate relationship with Sourceful wherever required by applicable law or regulation, including laws, rules, and guidance relating to advertising, sponsorships, endorsements, consumer protection, and marketing disclosures. This includes, where applicable, complying with the requirements of the UK ASA and CAP Code, the CMA, the US Federal Trade Commission, and the terms of any platform or channel on which you publish content.
3.4 If we ask you to remove or amend any Affiliate Link, content, promotion, or brand use, you must do so promptly and in any event within twenty-four (24) hours of our request, unless we specify a shorter period.
3.5 Any customers referred by you are Sourceful's customers, not yours. As between you and Sourceful, all pricing, contract terms, support obligations, policies, and decisions relating to the Services are determined solely by Sourceful. If a referred customer contacts you for product, billing, or support assistance, you must direct them to Sourceful using the contact details on our websites or by emailing support@sourceful.com.
3.6 If you collect or process any personal data in connection with your promotional activities, you do so as an independent controller unless expressly agreed otherwise in writing, and you must comply with all applicable data protection and privacy laws.
4.1 To support your participation in the Affiliate Program, Sourceful may make available logos, trade marks, brand assets, copy, images, videos, product descriptions, graphics, links, widgets, creative assets, and other marketing materials ("Sourceful Content"). Subject to this Agreement, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to use the Sourceful Content solely for promoting the Services in accordance with this Agreement and the Program Policies.
4.2 You must not modify, distort, or misuse Sourceful Content, combine it with other branding in a confusing manner, or use it in a way that suggests Sourceful endorses or sponsors you except as expressly permitted by this Agreement or in writing by Sourceful. All goodwill arising from your use of Sourceful's names, marks, or other Sourceful Content belongs to Sourceful.
4.3 You retain ownership of the content you create for your own channels, except to the extent it contains Sourceful Content or other third-party materials. You grant Sourceful a worldwide, non-exclusive, royalty-free, fully paid-up licence to use, reproduce, display, distribute, repost, re-share, and adapt content you create in connection with the Affiliate Program, together with your name, handle, logo, likeness, and biographical information, solely for the purposes of administering, promoting, and improving the Affiliate Program and the Services. You may revoke this licence for future use by emailing support@sourceful.com, and we will use commercially reasonable efforts to stop new uses after receipt of your notice.
4.4 Except for the limited rights expressly granted under this Agreement, each party retains all right, title, and interest in and to its own intellectual property. No rights are granted by implication.
5.1 You must keep confidential all non-public information concerning Sourceful, the Services, the Affiliate Program, our customers, our product roadmap, pricing, technology, security, business affairs, financial information, and any other information that would reasonably be understood to be confidential ("Confidential Information").
5.2 You may use Confidential Information only as necessary to participate in the Affiliate Program and only for so long as you are permitted to do so under this Agreement.
5.3 You may disclose Confidential Information only to your employees, contractors, or professional advisers who have a genuine need to know it for the permitted purpose and who are bound by confidentiality obligations no less protective than those in this Agreement. You remain responsible for any breach by such persons.
5.4 The obligations in this clause do not apply to information that you can demonstrate:
6.1 This Agreement begins when you first apply to or participate in the Affiliate Program and continues until terminated in accordance with this clause.
6.2 Either party may terminate this Agreement, or your participation in the Affiliate Program, at any time and for any reason by written notice, including by email or by disabling your participation through the Affiliate Platform.
6.3 On termination or suspension:
6.4 Termination does not affect any accrued rights or remedies. Clauses that are expressed to survive, or which by their nature are intended to survive, will continue after termination, including clauses relating to payment adjustments, intellectual property, confidentiality, indemnity, limitation of liability, and general provisions.
You are an independent contractor. Nothing in this Agreement creates any partnership, joint venture, employment, fiduciary, franchise, or agency relationship between you and Sourceful. You have no authority to make or accept any commitments, warranties, or representations on behalf of Sourceful.
8.1 You represent, warrant, and undertake that:
8.2 Sourceful does not promise or guarantee any particular volume of traffic, leads, sales, conversion rates, or Commission income. Any estimates, examples, statistics, or guidance we provide are illustrative only.
8.3 To the fullest extent permitted by law, the Affiliate Program, the Affiliate Platform, the Affiliate Links, the Sourceful Content, and any related materials are provided "as is" and "as available", and Sourceful disclaims all warranties, conditions, and representations, whether express or implied, including any implied warranties of accuracy, merchantability, fitness for a particular purpose, title, and non-infringement.
You will defend, indemnify, and hold harmless Sourceful, its affiliates, and each of their officers, directors, employees, contractors, and agents from and against all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
Sourceful may participate in the defence of any relevant claim using counsel of its own choice at its own cost, and you must not settle any such claim in a manner that imposes liability or obligations on Sourceful without Sourceful's prior written consent.
10.1 Nothing in this Agreement excludes or limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any liability that cannot lawfully be excluded or limited.
10.2 Subject to clause 10.1, Sourceful will not be liable to you for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, business, anticipated savings, goodwill, reputation, or data, whether arising in contract, tort (including negligence), misrepresentation, restitution, or otherwise, even if Sourceful has been advised of the possibility of such losses.
10.3 Subject to clauses 10.1 and 10.2, Sourceful's total aggregate liability arising out of or in connection with this Agreement will not exceed the greater of:
11.1 Changes. Sourceful may update this Agreement or the Program Policies from time to time. The updated version will apply from the date it is posted or otherwise communicated to you. Your continued participation in the Affiliate Program after that date constitutes acceptance of the updated terms.
11.2 Assignment. You may not assign, transfer, subcontract, or otherwise deal with any of your rights or obligations under this Agreement without Sourceful's prior written consent. Sourceful may assign or transfer this Agreement at any time.
11.3 Notices. Notices to Sourceful under this Agreement must be sent to support@sourceful.com, unless Sourceful notifies you of a different contact address. Sourceful may send notices to you using the contact details associated with your Affiliate Program account.
11.4 Entire agreement. This Agreement and the Program Policies constitute the entire agreement between you and Sourceful in relation to the Affiliate Program and supersede all prior discussions, understandings, or agreements relating to it.
11.5 Waiver. A delay or failure by either party to exercise any right or remedy will not constitute a waiver of that or any other right or remedy.
11.6 Severance. If any provision of this Agreement is found to be invalid, unlawful, or unenforceable, that provision will be deemed modified to the minimum extent necessary to make it enforceable or, if that is not possible, deleted, and the remainder of this Agreement will remain in full force and effect.
11.7 Third-party rights. A person who is not a party to this Agreement will not have any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of this Agreement, except that Sourceful's affiliates may rely on any clause expressed to benefit them.
11.8 Governing law and jurisdiction. This Agreement and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter or formation are governed by the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction to settle any such dispute or claim.
